2. The service

ClipShop provides media-production and localization services which may include:

  • creation of short-form clips from longer video;
  • video formatting and reframing;
  • captions and subtitles;
  • transcription;
  • translation and localization;
  • dubbing and synthetic or recreated speech;
  • voice processing;
  • lip synchronization;
  • visual enhancement;
  • editing and preparation of content for distribution.

Specific features may change as the service develops.

3. Accounts

You are responsible for:

  • providing accurate account information;
  • maintaining the confidentiality of your login credentials;
  • activity occurring through your account;
  • notifying us promptly if you believe your account has been compromised.

We may suspend access where reasonably necessary for security, legal compliance or suspected misuse.

4. Customer content

You retain ownership of content you upload to ClipShop.

You grant Dunross AI s.r.o. a limited, non-exclusive licence to host, copy, process, modify and transmit that content solely as necessary to provide, secure and improve the requested ClipShop service and to comply with law.

Unless separately agreed, we do not acquire ownership of your original content.

5. Your rights and permissions

You must have all rights and permissions required to upload content and instruct us to process it.

In particular, you confirm that you have the necessary authority relating to:

  • copyright and neighbouring rights;
  • video and audio recordings;
  • music and other incorporated works;
  • trademarks and brands;
  • the names, voices and likenesses of people appearing in the content;
  • translation and localization rights;
  • creation of synthetic, cloned, dubbed or modified voices;
  • modification of facial or lip movements where requested;
  • publication and commercial exploitation of the resulting content.

You must not ask ClipShop to impersonate, clone, manipulate or represent a person without appropriate authorization.

We may refuse or stop processing where we reasonably believe these requirements have not been satisfied.

6. Generated and localized content

AI-assisted and automated systems may produce errors.

You are responsible for reviewing and approving final content before publication, particularly where it contains:

  • factual statements;
  • names or numbers;
  • translations;
  • legal, medical, financial or technical information;
  • quotations;
  • sensitive or reputational content.

ClipShop may provide review and revision tools, but final publication remains the customer’s decision unless otherwise agreed.

7. Voice and likeness processing

Where a service involves recreating or modifying a person’s voice, appearance, facial movement or speech, you confirm that you have the legal right and appropriate authorization to request such processing.

ClipShop may request evidence of authorization and may refuse work where consent or authority is unclear.

8. Acceptable use

You may not use ClipShop to:

  • infringe intellectual-property or privacy rights;
  • create unauthorized impersonations or deceptive synthetic media;
  • commit fraud or facilitate unlawful activity;
  • harass, threaten or exploit individuals;
  • upload unlawful content;
  • bypass security or access restrictions;
  • interfere with the service or its infrastructure.

We may suspend or terminate use that violates these Terms or applicable law.

9. Third-party technology

ClipShop relies on third-party infrastructure, AI models, hosting and media-processing providers.

Availability, output quality and processing time may therefore be affected by systems outside our direct control.

We may change providers or technical implementation provided this does not materially reduce the service purchased by the customer.

10. Delivery times

Any delivery times displayed or communicated by ClipShop are estimates unless expressly agreed otherwise in writing.

We aim to provide services promptly, but processing times may vary depending on:

  • video duration;
  • complexity;
  • requested language;
  • number of speakers;
  • provider availability;
  • customer review;
  • technical failures.

11. Prices, credits and payment

Prices displayed at the time an order is placed or stated in a customer agreement apply to that order.

Where ClipShop uses credits:

  • credits represent prepaid value usable for eligible ClipShop services;
  • the number of credits required for a service will be shown before the customer confirms the order where reasonably practicable;
  • credits do not constitute money, a bank deposit or a stored-value financial product;
  • unused credits are handled according to the purchasing terms displayed at the time of purchase and applicable law.

Taxes are charged where required.

We may change future prices but will not retrospectively increase the price of an order already accepted.

12. Refunds and failed processing

If ClipShop charges for a service that cannot be delivered because of a failure attributable to ClipShop, we may, as appropriate:

  • retry the processing;
  • restore the relevant credits;
  • provide a replacement service; or
  • refund the affected amount.

No refund is ordinarily due where processing has been correctly supplied but the customer changes their mind, except where mandatory consumer law provides otherwise.

Nothing in these Terms limits mandatory statutory rights.

13. Customer review and revisions

Where a service includes customer review, the customer should notify us of requested corrections within a reasonable period.

The scope of included revisions may depend on the service purchased.

Material changes to the original brief may be treated as a new order.

14. Intellectual property in ClipShop

ClipShop’s software, interface, workflow, branding, technology, documentation and other proprietary materials belong to Dunross AI s.r.o. or its licensors.

These Terms do not transfer ownership of ClipShop technology to customers.

15. Confidentiality

We will take reasonable steps to protect non-public customer content and project information.

Customers must likewise protect confidential or proprietary information relating to ClipShop that is disclosed to them.

Separate confidentiality obligations may apply under a customer agreement or NDA.

16. Service availability

We do not guarantee uninterrupted or error-free operation.

We may temporarily suspend services for maintenance, security, provider outages or circumstances beyond our reasonable control.

17. Liability

To the maximum extent permitted by applicable law, Dunross AI s.r.o. is not liable for indirect, incidental, special or consequential loss, including loss of profits, opportunity, audience, reputation or anticipated savings.

Where liability cannot lawfully be excluded, our aggregate liability arising from a particular order or service will, to the extent permitted by law, be limited to the amount paid by the customer for the affected service during the relevant transaction or period.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

18. Indemnity for unauthorized content

To the extent permitted by law, a business customer agrees to indemnify Dunross AI s.r.o. against third-party claims arising from content or processing instructions supplied by that customer where the customer did not have the rights or authorization it represented that it had.

This provision does not apply to the extent prohibited by mandatory consumer law.

19. Termination

You may stop using ClipShop at any time.

We may suspend or terminate access where:

  • these Terms are materially breached;
  • payment remains overdue;
  • use creates security or legal risk;
  • services are being used unlawfully.

Termination does not affect rights or payment obligations that arose before termination.

20. Consumers

ClipShop is primarily designed for professional creators, businesses and organizations.

If you use ClipShop as a consumer, any mandatory rights available to you under applicable Czech or EU consumer law remain unaffected by these Terms.

Where applicable, required information about cancellation, withdrawal, complaints and dispute resolution will be provided before you make a binding purchase.

21. Privacy

Our processing of personal data is described in the ClipShop Privacy Policy.

Where Dunross AI s.r.o. processes personal data solely on behalf of a business customer, separate data-processing terms may apply.

22. Governing law

These Terms are governed by the laws of the Czech Republic, without prejudice to mandatory rights that may apply to consumers under the law of their country of residence.

Courts having jurisdiction under applicable law will resolve disputes.

23. Changes

We may update these Terms from time to time.

Changes will apply prospectively. Material changes affecting existing customers will be communicated where required.
